Investment Structures

Five ways to invest in a ROCAS project. Each structure is agreed per project, with ROCAS as general contractor and equipment supplier.

Project Acquisition

The investor selects a project and acquires the project company (SPV). ROCAS quotes a turnkey price and, as general contractor, delivers the plant ready to operate at COD, with the ANRE operating licence. Payments follow an agreed milestone schedule, and ownership of the SPV can pass to the investor from the start.

  • Turnkey price agreed before signature
  • Milestone payments for SPV acquisition, design, permits, equipment and works
  • Delivery at COD with ROCAS as general contractor

Equity / Joint Venture

Equity participation in the project company, alone or together with co-investors: minority, majority, 50/50 or full ownership, with governance, funding and delivery rights defined per project. ROCAS does not hold equity in the project; it remains general contractor and equipment supplier.

  • Shareholding and governance agreed per project
  • Co-investment at SPV level
  • One EPC counterparty for delivery

Development Partnership

For landowners and developers with early-stage sites, and for investors who want to fund development towards ready-to-build. ROCAS brings the technical-commercial assessment, grid and permitting coordination, the technology definition and a delivery route to COD.

  • Screening and assessment of the site
  • Coordination of connection, permits and documentation
  • A defined path to investment readiness

Debt / Bridge Financing

Senior, secured, HoldCo or short-term bridge facilities linked to agreed repayment events, such as COD or refinancing. Lenders are remunerated only through the return on the financing itself.

  • Facilities sized to the milestone schedule
  • Repayment events defined per project
  • No intermediation or brokerage commissions

Long-Term Ownership

Ownership focused on operating cash flow. After COD, the owner can retain ROCAS for operation and maintenance, warranty coordination, performance monitoring and route-to-market coordination with licensed partners.

  • Preventive and corrective maintenance
  • Monitoring and investor reporting
  • Trading and optimisation through licensed partners

Protections built into the structure

Typical terms that protect the investor's capital during delivery.

  • Certified milestones

Milestone payments are released after certification by the investor's independent engineer.

  • Equipment title

Title to the equipment passes to the SPV after delivery and payment.

  • Retention and COD margin

A retention is held until acceptance, and part of the ROCAS margin is paid at COD.

  • Step-in rights

The investor has step-in rights defined in the project agreements.

Project-specific agreements

Each investment is subject to project documentation, due diligence and definitive agreements. Financing one project does not create automatic rights over the wider ROCAS pipeline.

Fee policy

ROCAS pays no intermediation, introduction or brokerage commissions of any kind, before, during or after financing. The only remuneration attached to capital is the return on the financing itself.
